These Terms of Use ("Terms") govern your access to and use of Monitorix ("Monitorix", "we", "us"), a website and server monitoring service operated by CDX and available at https://monitorix.net, including the website, dashboard, API and monitoring agent (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Monitorix provides website and server monitoring, including availability, SSL-certificate, domain-expiry, keyword, DNS and port checks, server resource monitoring through an optional agent, alerting, and related dashboards and reports. Features and plans may change over time.

2. Accounts

You must provide accurate and complete registration information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, and if you use the Service on behalf of an organisation you represent that you are authorised to bind it to these Terms.

3. Acceptable use

You agree to use the Service lawfully and only to monitor systems, websites, domains and servers that you own or are otherwise authorised to monitor. You must not:

  • monitor, probe or test targets you do not own or have permission to monitor;
  • use the Service to attack, overload, gain unauthorised access to, or disrupt any system or network;
  • violate any applicable law or the rights of any third party;
  • attempt to interfere with, reverse engineer or circumvent the security or integrity of the Service;
  • resell or provide the Service to third parties except as expressly permitted.

4. The monitoring agent

We grant you a limited, non-exclusive, revocable licence to install and run the Monitorix agent on servers you own or are authorised to manage. You acknowledge that:

  • you install the agent yourself and it runs with the privileges you grant it on your server;
  • optional capabilities — automatic service restarts, firewall management, blocking or unblocking IP addresses, and fetching the server-status page — are performed only when you enable or request them, and you are solely responsible for the consequences of those actions on your systems;
  • you are responsible for maintaining backups and for the security and lawful operation of your own servers.

5. Plans, billing and renewals

Paid plans are billed in advance according to the plan and billing interval you select, in the currency shown at checkout, through our payment providers. Unless you cancel or disable auto-renewal, subscriptions renew automatically for successive periods at the then-current price. Prices may be exclusive of taxes, which will be added where applicable. You authorise us and our payment providers to charge your selected payment method for the applicable fees and renewals.

6. Refunds and cancellation

You may cancel your subscription at any time from your account; cancellation stops future renewals and takes effect at the end of the current paid period. Except where required by applicable law, fees already paid are non-refundable. Any refunds are handled in accordance with our then-current refund practices and applicable consumer-protection law.

7. Availability and disclaimer

We work to keep the Service reliable, but monitoring and alerting are provided on a commercially reasonable, best-effort basis. We do not warrant that the Service will be uninterrupted, error-free, or that every check or alert will be delivered or delivered on time. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. You should not rely on Monitorix as your sole safeguard against downtime or data loss.

8. Limitation of liability

To the maximum extent permitted by law, Monitorix and CDX will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of or inability to use the Service — including any missed, delayed or false alert, or any downtime of a monitored system. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Monitorix and CDX from any claims, damages, liabilities and expenses arising out of your use of the Service, your content or monitoring targets, your operation of the agent on your servers, or your breach of these Terms or of any law or third-party right.

10. Intellectual property

The Service, including its software, design and content (excluding your data and your monitoring targets), is owned by CDX and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right in our trademarks or software except the limited right to use the Service as permitted here.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that harms the Service or others. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 7–10 and 12) will survive.

12. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after a change means you accept the updated Terms.
